Securities and Exchange Commission exams can be nerve-racking for RIAs, particularly given the more aggressive tone the SEC has adopted in recent years.
Nonetheless, they are an inevitability for those investment advisors registered with the SEC. It behooves RIAs to ensure they are prepared for such exams given the severe consequences that can arise for not being prepared.Â
As the saying goes, “Those who fail to prepare must be prepared to fail.” Adopting the following five best preparation practices does not ensure that an advisor will go through an exam unscathed, but they will almost inevitably benefit the RIA.
1. Review Annual exam Priorities and Other SEC Guidance
RIAs should ensure that they are familiar with recent guidance from the SEC regarding its priority focus areas for exams.Â
In recent years, the SEC has published a significant amount of formal and informal guidance on what subjects they are most focused on when examining RIAs. Such guidance takes many forms, including the annual publication of the SEC examination priorities for the upcoming year, periodic risk alerts highlighting specific issues raising concerns as identified by the staff in recent examinations of investment advisors, and staff bulletins on specific compliance topics.Â
Although SEC exams are not uniform and can vary among branch offices and even individual exam teams, the above publications highlight the subjects likely to garner the most scrutiny in exams. Therefore, RIAs should become familiar with such regulatory updates to ensure that their firms are properly addressing the highlighted issues and deficiencies.
2. Become Familiar With SEC Document and Information Requests
RIAs should become familiar with the types of information and documents that are being requested in recent SEC exams and ensure that advisors have all such information and documents and that they are readily accessible. By way of background, the SEC reviews an RIA by initially requesting significant volumes of information about the firm’s business and compliance program.Â
The SEC recently published a risk alert that included a document highlighting some of the typical information and documents the staff requests from investment advisers at the outset of an examination. Ideally, the SEC will continue to update this list as it evolves. Even if the SEC does not update it, advisors can reach out to firms that regularly guide advisors through the SEC exam process to understand what information and documents the SEC has been requesting in recent exams.Â
By understanding what documents the SEC staff is requesting, RIAs can review their compliance books and records and ensure that they have all such books and records. RIAs may want to create a folder in which such information and documents can be housed for easier retrieval in the event the SEC comes knocking.

The preliminary examination before Judge McCUNN in the case of Dr. BROWN, charged with procuring an abortion upon Miss ANDERSON, and thereby causing her death, was concluded on Saturday. Dr. BROWN was present, but appeared to take little interest in the proceeding. The examination was conducted by Mr. H.L. CLINTON, counsel for Dr. BROWN, and was confined to the medical men who attended the post-mortem examination and testified at the Coroner's inquest. The object appeared to be to show that the death of Miss ANDERSON was not necessarily caused by an abortion, or indeed that there was any positive evidence that an abortion had been procured. The first witness was Dr. THOS. C. FINNELL, who made the second post-mortem examination, and who gave his evidence in a remarkably clear, prompt and intelligent manner. The details are not proper for publication, but the substance of his testimony was that the post-mortem developed evidences of an abortion having been produced, in the altered condition of the womb, the intense congestion of the parts, and the abscesses that had formed as a result of the inflammation. The immediate cause of death, he said, was pymenia, or poisoning of the blood, resulting from the abscesses which were superinduced by the inflammation. The fact that the deceased had been pregnant was also shown by the enlarged breasts, the areola, and the enlarged glands upon its surface. He described a large number of instruments which were shown to him at the Station-house, as belonging to Dr. BROWN, most of which he said were not such as are ordinarily used by physicians and surgeons in their regular and legitimate practice. The post-mortem was conducted in the presence of Drs. Ranney, Tucke, Connolly, Galen Lieutenant [???].

Judge MGCUNN said he would look over the testimony, and he proposed to deliver his decision at 4 P.M. At the time fixed, the Judge announced that from the serious nature of the charge against the Doctor, he had made up his mind not to discharge him, or admit him to ball, but to remand him to prison for trial. The evidence showed that SIMMS had betrayed the confidence of the poor girl who was now lying in her cold and lonely grave, and that no voice was now raised to an uncharitable world, ever ready to condemn a weak woman, and no kind word was uttered in her behalf to redeeem her name from the fearful shame which her acquaintance with SIMMS had brought upon her. The only statement of that poor girl's confidence in him, we have from his own lips, and in that statement be has endeavored to sink her lower than himself. There has been intense outside debate and speculation about the girl, reportedly about 10 years old and named Ju Ae, since she made her first public appearance in November 2022, when she watched a long-range missile test-launch with her father.
The girl has since accompanied her father at a number of major public events, with state media calling her father’s “most beloved” or “respected” child and churning out footage and photos proving her rising political standing and closeness with her father.

A senior general knelt and whispered to her when she clapped while watching a military parade at a VIP observation stand in September. She was photographed standing in front of her father at one point during a visit to the air force headquarters in November, with both Kims wearing sunglasses and long leather jackets. In a New Year's Eve celebration at a packed Pyongyang stadium Sunday, Kim Jong Un kissed her on the cheek and she did the same to her father.
Most of these scenes are something that had been unimaginable in North Korea, where Kim is the subject of a strong and loyal following that treats him like god.
South Korea’s main spy agency, the National Intelligence Service, said Thursday that it sees Kim Ju Ae as her father’s highly likely successor, citing a comprehensive analysis of her public activities and the state protocols provided to her.
The NIS public affairs office told The Associated Press that it still considers all possibilities regarding the North’s power succession process because Kim is still young, has no major health issues, and has at least one other child. Kim turns 40 on Monday.
The NIS statement confirmed the comments by lawmaker Youn Kun-Young, who cited the nominee for the NIS chief, Cho Tae-yong. Youn said Cho made the same assessment in written responses to his questions ahead of his parliamentary hearing.
In phone conversations with the AP, Youn, a member of parliament’s intelligence committee, reconfirmed Cho’s assessment, which matched what the NIS told the AP. He said Cho's written responses to his questions contained no other details about Kim Ju Ae.
The NIS has a spotty record in confirming developments in North Korea, one of the world’s most secretive nations. North Korea's state media have yet to make any direct comments on the succession plan, including whether Kim Ju Ae has any siblings.
Du Hyeogn Cha, an analyst at Seoul’s Asan Institute for Policy Studies, said while the NIS currently sees a high possibility for Kim Ju Ae to be primed as her father's successor, few can predict whether she would eventually become the North's next leader. Cha added that Kim Ju Ae lacks political achievements that he said are essential to be formally anointed as the country's future leader.
Analyst Cheong Seong-Chang at the private Sejong Institute in South Korea said that Kim Jong Un likely believes his daughter has capacity and resolve to succeed him as leader. He said Kim Jong Un’s obesity appears so serious that “it won’t be surprising even if he collapses tomorrow.”
“By accompanying her father on major events, she’s like learning kingship and building a human network at a tender age,” Cheong said.
NIS and other South Korean officials earlier said it was premature to view Kim Ju Ae as her father's heir, given Kim Jong Un's relatively young age and North Korea's Confucianism-influenced, male-nominated power ranking. They had said the girl's repeated appearances were more likely meant to shore up public support of Kim's ruling family and his plan to hand over his power to one of his children.
Since its foundation in 1948, North Korea has been successively ruled by male members of the Kim family. Kim Jong Un inherited power upon his father Kim Jong Il's death in late 2011. Kim Jong Il took over power after his father and state founder Kim Il Sung when he died in 1994.
The name of Ju Ae matched what retired NBA star Dennis Rodman called Kim’s baby daughter, whom he said he saw and held during a trip to Pyongyang in 2013. In 2023, the NIS told lawmakers Kim Ju Ae has an older brother and a younger sibling whose gender has not been made public.
Cheong, the expert, called the NIS intelligence on the older brother inaccurate, though he agrees that Kim Ju Ae has a younger sibling.
Revealing the young Kim Ju Ae came as a huge surprise to foreign experts, because neither Kim Jong Un nor Kim Jong Il were first mentioned in North Korean state media until after they became adults.
